Terms & conditions

1. Who provides the service

Contra HQ (“the service”) is provided by the Contra HQ team (“we”, “us”). Contra HQ is an early-stage product; a UK limited company is being incorporated, and this page will be updated with its registered details once that completes. These terms are an agreement between us and the accountancy practice that uses the service (“the customer”). By using the service the customer agrees to these terms.

2. The service

The service helps accountancy practices onboard new clients and prepare VAT work: it captures enquiries, verifies company and identity details against official registers, collects onboarding documents, drafts correspondence for human approval, and prepares VAT return workings for the practice’s review. The service is currently provided as an early-access pilot and its features may change.

3. Accounts and acceptable use

The customer is responsible for keeping its login credentials confidential and for the actions taken under its accounts. The service may be used only for lawful purposes connected to the customer’s accountancy practice, and not in any way that disrupts the service or attempts to gain unauthorised access to it or to data belonging to others.

4. Customer data

Data the customer or its clients put into the service belongs to the customer. We process personal data in it only on the customer’s instructions, as described in our privacy policy. The customer can ask at any time for its data to be corrected, exported or deleted, and when the agreement ends we will return or delete it on request.

5. Official registers and third-party services

The service retrieves information from official sources, including Companies House and HMRC, and relies on third-party providers named in the privacy policy. Information from those registers is presented as those sources supply it; we do not control and cannot guarantee its accuracy or availability.

6. No professional advice

The service is a tool that supports the customer’s work. It does not provide accounting, tax or legal advice, and it does not replace the customer’s professional judgement. The customer remains responsible for reviewing outputs and for all filings and advice given to its clients.

7. Availability and support

During the pilot the service is provided on a reasonable-endeavours basis, without a guaranteed service level. We may suspend the service for maintenance or security reasons, and will give notice where practical. Support is available by email at team@contra-hq.com.

8. Security and incident reporting

We protect the service and its data as described in the privacy policy. Anyone who believes they have found a security risk or incident should report it to team@contra-hq.com. Where a breach involves personal data we notify the affected customer, HMRC and the Information Commissioner’s Office within 72 hours of becoming aware of it.

9. Intellectual property

We own the service and its software. The customer receives a non-exclusive, non-transferable right to use the service for its practice while these terms are in force. Nothing in these terms transfers ownership of the customer’s data to us.

10. Liability

Nothing in these terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, the service is provided “as is” during the pilot, we are not liable for indirect or consequential loss, and our total liability under these terms is limited to the fees the customer has paid for the service in the twelve months before the claim (or £100 if no fees have been paid).

11. Ending the agreement

Either party may end the agreement with written notice. We may suspend or end access immediately if the customer materially breaches these terms. On termination, section 4 governs the return or deletion of the customer’s data.

12. Changes to these terms

We may update these terms as the service develops. We will give the customer reasonable notice of material changes, and the date at the top of this page shows when they last changed.

13. Governing law

These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction over any dispute arising from them.
